01Acceptance of terms
By accessing or browsing this website, or by accepting any service from Future Axis in any form, you confirm that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree with any part of them, please do not use this site or our services. If you accept these terms on behalf of a business or organization, you represent that you have the authority to bind that business or organization to them.
These terms, together with each specific Statement of Work (SOW), form the entire agreement between you and us. Where these terms conflict with a signed SOW, the SOW controls.
02About us
Future Axis Inc. is a digital marketing company incorporated in the State of New York in 2026, with its headquarters at New York, NY. We provide systematic digital marketing services to local businesses and brands across every community in the U.S. The team stays small and senior on purpose: every project is executed directly by the core team — no outsourcing, no AI content mill.
03Scope of services
We offer the following six categories of digital marketing services:
- Google Business Profile (GMB) and multi-platform review management;
- Website optimization (SEO + GEO, local and generative search);
- Website development;
- Custom feature development;
- Accessibility compliance (ADA / WCAG);
- Social media content and management.
Within the matching services, we also provide two proprietary software systems: Review Hub (multi-platform review management) and ADA Shield Pro (fully automated accessibility compliance).
The specific scope, deliverables, timeline, and pricing of each project are governed by the Statement of Work (SOW) both parties sign. Descriptions on this website and in any marketing materials are for overview only and do not constitute a commitment to any particular project scope or result. For detailed descriptions and price ranges of each service, see the sample Statement of Work (SOW).
04Free strategy audit
We offer qualified prospective clients a free digital marketing strategy audit (a $1,500 value, typically delivered by email within 3–5 business days of receiving complete information). The audit is written from your real data and is for reference only, intended to help you see where you stand and prioritize.
This free audit does not constitute a binding engagement, a final quote, or any service commitment. Whether an engagement begins, and on what scope and price, is governed solely by a separately signed SOW.
05Engagement & SOW
A formal engagement is established when both parties sign a Statement of Work (SOW). Once signed, the SOW is binding on both parties and takes precedence over the general provisions of these terms.
Term and cancellation
For ongoing SEO services, engagements have a 6-month minimum. Either party may cancel with 30 days' written notice to the other, with zero penalty. Once the results are working, you can stop at any time on the terms above.
Payment cadence and capacity
Project fees are paid in milestone installments, with a typical cadence of 40% / 40% / 20% (as specified in the SOW). To protect service quality, we take on only 4 new clients per quarter.
06Fees & billing
We are committed to transparent pricing. Fees come in three forms: monthly fees (ongoing services), annual fees (annually contracted services), and one-time fees (project-based work such as website development or custom features). What each service includes and excludes is itemized in the SOW.
Unless the SOW states otherwise, invoices are due on issuance. For past-due amounts, we may suspend the related services until payment is settled; resuming service does not waive fees already incurred.
Third-party platform costs are not included in our fees. For example, paid advertising (PPC) ad budgets, third-party software subscriptions, web hosting and domain fees, and stock image licenses are the client's responsibility. We do not provide PPC ad management.
07Client responsibilities
To keep the project moving, you agree to:
- Provide accurate, complete, and timely business information and project materials;
- Grant us the necessary collaborator access to accounts (such as the Google Business Profile, website back end, and analytics tools);
- Review and give feedback on deliverables, drafts, and assets within the agreed timeframe;
- Ensure that all content you provide (text, images, video, brand assets, etc.) is lawful and accurate, and that you own it or are properly licensed to use it.
If delays are caused by your failure to provide materials, feedback, or access on time, the timeline will be extended accordingly, and this will not be treated as our breach.
08Intellectual property & ownership
Ownership of project deliverables (such as website source code, written content, and design files) is assigned as set out in the applicable contract (SOW). Upon the client settling the related fees, the corresponding rights are transferred as the SOW provides.
Your accounts, domains, social media profiles, and the marketing assets built up during the engagement always stay in your name — we hold collaborator access only and never appropriate your assets under the agency's name.
Future Axis retains all ownership and intellectual property rights in its two proprietary software systems (Review Hub and ADA Shield Pro) and in their underlying methodologies, process templates, and internal tools. During the service term, the client receives a non-exclusive, non-transferable license to use that software, limited to the matching service.
09In-house software license
Review Hub and ADA Shield Pro (v1.1.0) are provided as a component of the matching service. They are generally included in the corresponding service fee (ADA Shield Pro and Review Hub are also available standalone), not transferable, and may not be sublicensed to any third party. The client may use them only within its own business and during the service term.
When the related service ends or the engagement concludes, the license to use that software terminates at the same time; we will handle client data in line with the termination and handover provisions of these terms.
10Third-party platforms
Our services rely on third-party platforms such as Google, Yelp, and Meta. The rules, policies, algorithms, and display mechanics of these platforms are set by the platforms themselves and may change at any time, outside our control.
Except for the specific key performance indicators (KPIs) expressly stated in the SOW, we do not guarantee any particular search ranking, traffic figure, or specific business result. Changes in platform policy, or a platform restricting or penalizing an account, are situations beyond our reasonable control and are not treated as our breach.
11Disclaimers
To the extent permitted by law, this website and our services are provided on an "as-is" and "as available" basis. SEO and search rankings are subject to search engine algorithms, the competitive landscape, and other external factors, and carry inherent uncertainty.
Except for the KPI commitments expressly stated in the SOW, we make no other warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
12Limitation of liability
To the maximum extent permitted by applicable law, the total aggregate liability of Future Axis for any and all claims arising out of or relating to these terms or any service is capped at the total service fees the client actually paid us for the relevant service in the 6 months before the event giving rise to the claim.
In no event will we be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to lost profits, lost revenue, lost goodwill, or lost data, even if we have been advised of the possibility of such damages.
13Indemnification
You agree to indemnify and hold harmless Future Axis and its officers and employees from any third-party claims, suits, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from content you provide (text, images, video, brand assets, etc.) that infringes a third party's intellectual property or violates the law, or from your breach of these terms.
14Termination
Either party may terminate the engagement as provided in the applicable SOW (generally with 30 days' written notice). On termination, the client settles all fees incurred up to the termination date.
After the engagement ends, we complete the handover of accounts, content, and data within 7 days — including transferring account admin access and exporting the relevant content and data — so your marketing assets transition smoothly and are never locked in.
15Governing law
These terms, and their formation, interpretation, and performance, are governed by the laws of the State of New York, without regard to its conflict-of-law principles.
Any dispute arising out of these terms or our services will first be addressed through good-faith negotiation. If negotiation fails, either party may bring the dispute before a court of competent jurisdiction located in Orange County, New York, and both parties consent to the jurisdiction of those courts.
16Changes to terms
We may update these terms from time to time. When a material change occurs, we will update the "Last updated" date at the top of this page. Changes take effect when posted; your continued use of this website or our services after a change means you accept the updated terms. We recommend reviewing this page periodically.
