01What this is
This page is a display sample of Future Axis Inc.'s standard Statement of Work (SOW). It has one purpose: to show you, before you sign, which commitments we put into the formal contract — scope, deliverables, milestones, KPIs, payment, term, exit, and handoff, all spelled out rather than discovered after the fact.
Please note: this page is not a contract and does not constitute any offer or commitment. The client name, address, amounts, and dates are placeholder examples, shown as [ this shaded marker ]. The real SOW you receive is a document drafted specifically for your project — scope, schedule, and pricing tailored to your industry, current state, and goals — and governed by the version both parties formally sign.
02Parties
This Statement of Work is entered into by:
- Service provider: FUTURE AXIS INC., registered address New York, NY ("Future Axis" or "we").
- Client: [ Client Name ], address [ Business Address ] (the "Client" or "you").
In a real document, this section is filled in with the client's legal entity name, business address, and authorized signatory.
03Scope & deliverables
This section defines what we do and what we deliver on the project. In a real SOW, every service is broken into checkable, concrete actions. Two common services illustrate the level of detail:
- GMB (Google Business) optimization: 16 business-profile fields completed item by item (category, hours, service area, attributes, products/services, photos, and more), 100% of historical negative reviews answered, plus Review Hub connected for 3-platform review tracking and one-tap replies.
- SEO + GEO website optimization: keyword research (real KWFinder data), Schema structured-data deployment, page-speed optimization, quarterly content output and monthly technical tuning, plus GEO citation building for AI search.
- Delivery cadence: all deliverables are submitted against milestones, with real-data reviews attached at day 30 and day 90.
The above are examples only. The complete, definitive scope is the checklist set out in the appendix to this SOW — which lists what is and is not included, item by item, so nothing is left ambiguous.
04Milestones & timeline
The project advances through the milestones below, each tied to defined deliverables and a time window (sample timeline; a real project adjusts to your starting point):

05KPI commitments (written into the SOW)
The four core commitments below are written verbatim into the formal SOW — identical to the KPIs published on the homepage. If we miss them, the client may hold us to the relevant clause, terminate, and withhold the remaining balance.

06Payment schedule
Payment terms depend on the service type; amounts are set in the real SOW (placeholder examples below):
- Project-based (e.g. website development): staged by milestone — typically 40% kickoff + 40% midpoint + 20% acceptance, each stage [ $ amount ].
- Monthly / annual services (e.g. GMB, SEO + GEO): paid monthly in advance at [ $ amount ], or annually as a single [ $ amount ].
Overdue terms: if an invoice is unpaid past its due date, related deliverables may be paused until the balance is settled; the exact grace period and interest terms are set in the real SOW.
07Term & cancellation
This service has a 6-month minimum. Either party may cancel with 30 days' written notice at $0 cancellation fee. On cancellation, the Client settles fees actually incurred up to the effective date — neither party owes any additional penalty.
This clause corresponds to homepage KPI ④ "Flexible exit" — once it works, you can stop anytime; we don't lock you in with the contract.
08IP & handoff
Ownership follows the principle "the client's assets belong to the client":
- The client's accounts and marketing assets (Google Business, website, social accounts, domain, content, data, etc.) are always registered in the client's name; we hold collaborator access only.
- Copyright in this project's deliverables vests in the client as set out in this SOW.
- A clean handoff is completed ≤ 7 days after the engagement ends — accounts, content, data, plus a training document.
- Future Axis retains full ownership of its in-house software (such as Review Hub and ADA Shield Pro) and its systematized methodology — these are licensed to the client for the term only and do not transfer at handoff.
09Exit clause
After the engagement ends, we actively help you leave cleanly: we assist with exporting all data and a seamless handoff of accounts and assets, and we never lock down code or accounts. Your assets are always yours — you can take them with you at any time. There is no "pay up or you can't get your account back" here.
10Confidentiality
Both parties keep the other's business information and data confidential, use it only for this project, and do not disclose it to any third party without the other's written consent. Confidentiality survives the end of the engagement.
11Limitation of liability
To the maximum extent permitted by law, Future Axis's total liability to the client for this project is limited to the fees the client has actually paid. This SOW is governed by the laws of the State of New York. For the fuller limitation of liability and disclaimers, see our Terms of Service.
